UGC Collaboration Agreement

1. Project Overview

The Creator will produce user-generated content (“Content”) for Shessoseasonal to be used across marketing and advertising channels.

Deliverables:

  • 3 x vertical UGC videos (15–60 seconds each)

  • 1 x organic TikTok post from Creator’s account

  • Usage: Paid ad use on Facebook, Instagram, TikTok, and organic posting on brand channels.

Timeline:

  • Creative concepts approved by: October 21, 2025

  • Draft videos delivered by: October 31st, 2025

  • Final approved content delivered by: November 5th, 2025

2. Payment

  • Total project fee: $1,000 AUD (includes 3 videos + 1 TikTok post + 3-month ad usage rights).

  • Payment via bank transfer, PayPal, or Stripe.

  • The Creator will provide an invoice once the final approved deliverables have been submitted.

  • Payment will be made within 14 days of invoice date.

3. Usage & Confidentiality

  • Shessoseasonal receives non-exclusive advertising rights for 3 months from the date of delivery to use, edit, and repurpose the content across paid ads and organic social media.

  • After 3 months, usage can be extended for $100 per additional month (agreed in writing).

  • The Creator retains ownership of the original footage and may use it in her portfolio only — not for resale, redistribution, or use by other brands.

  • The Creator must not repurpose or sell the content to any third party. 

4. Confidentiality & Access to Brand Materials

  • The Creator will receive 1 month of complimentary access to the Seasonal Style Club solely for research and creative purposes.

  • The Creator must not download, save, screenshot, share, or redistribute any member photos, videos, or proprietary resources from the Style Club.

  • The Creator must not use any Style Club member imagery in her own social content, portfolio, or external projects.

  • All Style Club materials remain the exclusive property of She’s So Seasonal.

  • Access will automatically expire one month after signing this agreement.

5. Revisions & Delivery

  • Includes 1 round of feedback for small adjustments (e.g., captions, transitions, or text).

  • Any significant reshoots or changes outside the agreed brief may incur an additional fee (to be confirmed in writing before work continues).

  • Content must be delivered in high-resolution MP4 format suitable for paid advertising.

6. Standards & Conduct

  • All content must align with the She’s So Seasonal brand values and be free from offensive, discriminatory, or inappropriate material.

  • The Creator agrees to maintain a professional standard in all communications and representations related to this project.

7. Termination

Either party may terminate this agreement with written notice.

  • If terminated before content creation, no payment is required.

  • If terminated after content creation but before delivery, the Creator may retain footage but will not be owed payment.

  • If the Brand terminates after delivery, the Creator will still be paid in full for work completed.

8. Indemnity & Limitation of Liability

Both parties agree to act in good faith. The Creator is responsible for ensuring all content is original and free from copyright infringement.
She’s So Seasonal will not be held liable for any damages beyond the agreed project fee.

9. Governing Law & Dispute Resolution

This agreement is governed by the laws of Queensland, Australia.
Both parties agree to first attempt to resolve any disputes through open communication before taking further action.
